Terms and Conditions

Please read these terms before downloading or buying Prodexa. By installing or using the software, or by purchasing a licence key, you agree to them. This is a plain-English summary of the agreement between you and Prodexa.

1. The software

Prodexa Product, Batch and Pricing Manager ("Prodexa", "the program") is Windows desktop software that helps small producers manage ingredients, suppliers, stock, recipes, production batches, traceability, costing, pricing, sales records and labelling. It is a record-keeping and calculation tool. It is not accounting, tax, legal or food-safety advice, and it does not guarantee compliance with any law or regulation.

2. Free trial

Prodexa runs free for 60 days from first use, with full features. After 60 days it becomes read-only: you can still open every screen, view your data and export it, but changes are no longer saved until you enter a valid licence key. Entering a valid key at any time — during or after the trial — unlocks saving again permanently on that computer. Your data is never deleted by the trial ending.

3. Licence

A licence is a one-time purchase. When you buy, you receive a licence key that unlocks the program for your own business use.

  • The licence is for this version of the program. Future major versions may require a new purchase.
  • You may install and use it on computer(s) you own or control for your own business.
  • You may not resell, sub-licence, share or publish your licence key, or redistribute, rent or lend the program.
  • You may not copy, decompile, reverse-engineer or attempt to extract the program's internal keys or logic, except where the law expressly allows.
  • Keep your licence key private. A key that has been shared or published may be withdrawn.

4. Your responsibility for accuracy

You are responsible for the information you enter and for checking the program's outputs before you rely on them. This is especially important for allergen, ingredient, labelling, expiry/use-by, pricing and tax information. Always verify labels and food-safety information against your own records and the rules that apply where you trade. Prodexa is a tool to assist you; it does not replace your own checks or professional advice.

5. Your data and backups

Prodexa stores your business data in files on your own computer. You are responsible for keeping your own backups. We are not responsible for any loss of data, however caused.

6. Supplied "as is"

The program is provided "as is". To the fullest extent permitted by law, we give no warranties that it will be error-free or fit for any particular purpose. This does not affect any statutory rights you have as a consumer that cannot legally be excluded.

7. Limitation of liability

To the fullest extent permitted by law, our total liability to you for any claim connected with the program or these terms is limited to the amount you paid for your licence. We are not liable for indirect or consequential losses, including lost profit, lost sales, or losses arising from incorrect labels, pricing or records. Nothing in these terms limits liability that cannot be limited by law (for example, for death or personal injury caused by negligence, or for fraud).

8. Price, payment and tax

The licence price is shown on the website at the time of purchase. Payment is handled securely by Stripe; we do not store your card details. Depending on where you are, sales tax or VAT may apply and, where it does, it is accounted for in line with the rules for your location.

9. Refunds and cancellation

Because Prodexa offers a full 60-day free trial, you can fully evaluate it before paying. When you buy a licence key, the key is supplied to you immediately. By completing your purchase you ask for the licence key to be supplied immediately and you acknowledge that, once it has been supplied, you lose any right to cancel and obtain a refund that would otherwise apply to digital content.

We do not offer refunds simply for change of mind after the key has been supplied. If the program is genuinely faulty and we cannot put it right, you remain entitled to any remedy required by law. Nothing here removes mandatory consumer rights in your country.

10. Support and updates

Support is provided on a best-effort basis by email and through the contact page. We do not guarantee response times, and we are not obliged to provide updates or new features. Any updates we do release are provided under these same terms.

11. New software notice

Prodexa is independent software and is not yet code-signed, so Windows or antivirus tools may show an "unknown publisher" or similar warning on first install. The program is supplied in good faith. Install only from prodexa.co.uk.

12. Changes to these terms

We may update these terms from time to time. The version published on prodexa.co.uk at the time of your purchase applies to that purchase.

13. Governing law

These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction. If you are a consumer in another country, you still have the benefit of any mandatory consumer protections that apply where you live.
